Acceptance of Terms

These Terms and Conditions govern your use of dndteams.com and the services offered by DND Teams. By accessing the website or engaging our services, you agree to these terms. Specific projects may also be governed by a separate proposal, quotation or agreement; if there is a conflict, the signed or accepted project document will prevail.

Services

DND Teams provides website designing, search engine optimisation, digital marketing, social media management, bulk SMS, WhatsApp Business API, voice call and RCS messaging services. The scope, deliverables, timelines and fees for each engagement are set out in the relevant proposal or quotation.

Service descriptions on this website are for general information. Features and availability of third-party platforms, such as telecom networks, DLT portals, Google, Meta and WhatsApp, are controlled by those providers and may change without notice.

Client Responsibilities

You agree to provide accurate information, timely feedback and the content, access and approvals needed to deliver the services. You are responsible for the legality and accuracy of content you supply, for holding the rights to any material you provide, and for obtaining all necessary consents from recipients of SMS, WhatsApp, voice or RCS messages.

Messaging Compliance

Clients using our messaging services must comply with all applicable laws and regulations, including TRAI's Telecom Commercial Communications Customer Preference Regulations and DLT requirements, the Information Technology Act, data protection law, and the policies of WhatsApp, Meta, Google and telecom operators. Sending spam, fraudulent, misleading, offensive or illegal content is strictly prohibited.

We may suspend or terminate messaging services without notice if we reasonably believe they are being misused or if required by an operator, platform or authority. Messaging credits or fees for messages already processed are not refundable in such cases.

Fees and Payment

Fees are as stated in the accepted quotation. Unless otherwise agreed, prepaid services such as messaging credits must be paid before activation, and project fees may require an advance. Applicable taxes, including GST, are charged additionally. Advertising budgets paid to platforms such as Google or Meta are separate from our fees. Late payment may result in suspension of services.

No Guarantee of Specific Results

We use professional skill and care, but outcomes such as search rankings, traffic, leads, sales, message delivery or read rates depend on many factors outside our control, including search engine algorithms, platform policies, network conditions, competition and recipient behaviour. We therefore do not guarantee specific results unless expressly agreed in writing.

Intellectual Property

On full payment, ownership of final website designs and content created specifically for you transfers to you, except for third-party components such as themes, plugins, fonts, stock media or software, which remain subject to their own licences. We may retain the right to display non-confidential work in our portfolio unless you ask us not to.

Limitation of Liability

To the maximum extent permitted by law, DND Teams will not be liable for indirect, incidental or consequential losses, including loss of profits, data or business opportunities. Our total liability for any claim relating to a service is limited to the fees paid by you for that service in the three months preceding the claim.

Website Use

You may not misuse this website, attempt to gain unauthorised access, interfere with its operation or use it to transmit harmful code. Content on this website is provided for general information and may be updated without notice.

Third-Party Platforms

Many of our services rely on third-party platforms, including telecom operators, DLT platforms, Meta and WhatsApp, Google, hosting providers and payment gateways. Their availability, pricing, approval decisions and policies are outside our control. We are not responsible for delays, rejections, suspensions or changes made by these platforms, although we will help you resolve issues wherever possible.

Confidentiality

Each party agrees to keep confidential any non-public business information received from the other in the course of an engagement and to use it only for the purposes of that engagement, except where disclosure is required by law.

Termination

Either party may terminate an engagement as set out in the relevant proposal or agreement. Fees for work completed and costs incurred up to termination remain payable.

Governing Law

These terms are governed by the laws of India. Subject to applicable law, courts at Bhopal, Madhya Pradesh will have jurisdiction over disputes arising from these terms.
